    1. Acceptance of Terms

    By accessing or using the BuildPay platform ("Service"), you agree to be bound by these Terms of Service ("Terms"). If you are using the Service on behalf of a company or other legal entity, you represent that you have authority to bind that entity to these Terms. If you do not agree, you must not use the Service.

    2. Service Description

    BuildPay is a cloud-based construction payment management platform designed for the UK construction industry. The Service enables contractors and subcontractors to manage payment applications, payment notices, valuations, and related financial workflows in compliance with the Housing Grants, Construction and Regeneration Act 1996 (as amended).

    3. User Accounts and Responsibilities

    • You must provide accurate and complete information when creating an account.
    • You are responsible for maintaining the confidentiality of your login credentials.
    • You must notify us immediately of any unauthorised access to your account.
    • You are responsible for all activity that occurs under your account.
    • Company administrators are responsible for managing user access within their organisation and ensuring appropriate permissions are assigned.

    4. Acceptable Use

    You agree not to:

    • Use the Service for any unlawful purpose or in violation of any applicable law or regulation
    • Submit false, misleading, or fraudulent payment applications or financial data
    • Attempt to gain unauthorised access to any part of the Service or its infrastructure
    • Interfere with or disrupt the integrity or performance of the Service
    • Use the Service to transmit harmful code, malware, or other malicious content
    • Reverse-engineer, decompile, or disassemble any part of the Service

    5. Intellectual Property

    All intellectual property rights in the Service, including but not limited to the software, design, text, graphics, and logos, are owned by or licensed to BuildPay Ltd. You are granted a limited, non-exclusive, non-transferable licence to use the Service for its intended purpose during the term of your subscription. You retain ownership of all data you submit to the Service.

    6. Payment Terms and Billing

    • Subscription fees are as set out in your order or as published on our website.
    • Fees are payable in advance on a monthly or annual basis, as selected.
    • All fees are exclusive of VAT, which will be charged at the prevailing rate where applicable.
    • We reserve the right to change our pricing with 30 days' written notice.
    • Failure to pay fees when due may result in suspension or termination of your account.

    7. Data Protection

    We process personal data in accordance with our Privacy Policy, the UK General Data Protection Regulation (UK GDPR), and the Data Protection Act 2018. Where we process personal data on your behalf, we act as a data processor and will enter into a Data Processing Agreement upon request.

    8. Limitation of Liability

    • Nothing in these Terms excludes or limits our liability for death or personal injury caused by our negligence, fraud or fraudulent misrepresentation, or any other liability that cannot be excluded or limited by English law.
    • Subject to the above, our total aggregate liability arising out of or in connection with these Terms shall not exceed the total fees paid by you in the 12 months preceding the claim.
    • We shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, business opportunity, or goodwill.
    • We do not warrant that the Service will be uninterrupted, error-free, or free from harmful components.

    9. Indemnification

    You agree to indemnify and hold harmless BuildPay Ltd, its directors, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in connection with your use of the Service, your breach of these Terms, or your violation of any applicable law.

    10. Termination

    • Either party may terminate by giving 30 days' written notice.
    • We may suspend or terminate your access immediately if you breach these Terms.
    • Upon termination, you may request an export of your data within 30 days. After this period, we may delete your data in accordance with our retention policies.
    • Termination does not affect any rights or obligations that accrued prior to termination.

    11. Governing Law and Jurisdiction

    These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes arising out of or in connection with these Terms shall be subject to the exclusive jurisdiction of the courts of England and Wales.

    12. Dispute Resolution

    Before commencing court proceedings, both parties agree to attempt to resolve any dispute through good-faith negotiation. If the dispute cannot be resolved within 30 days, either party may refer the matter to mediation under the CEDR (Centre for Effective Dispute Resolution) Model Mediation Procedure. If mediation fails, the dispute may be referred to the courts of England and Wales.

    13. Force Majeure

    Neither party shall be liable for any failure or delay in performing its obligations where such failure or delay results from circumstances beyond the reasonable control of that party, including but not limited to acts of God, natural disasters, war, terrorism, pandemic, power failure, internet outages, or government actions.

    14. Changes to These Terms

    We reserve the right to modify these Terms at any time. We will notify you of material changes by email or through the Service at least 30 days before they take effect. Your continued use of the Service after the effective date constitutes acceptance of the updated Terms.
